Terms of Service
1. Who you're agreeing with
These Terms are a contract between you and OODESK LLC ("we," "us"). By creating an account or checking the box in the app, you agree to these Terms, our Privacy Policy, and, during the beta, the Beta Tester Agreement. If you use the Desk for a business, you agree for that business and confirm you can bind it.
2. What the Desk does
You photograph or upload freight paperwork (rate confirmations, bills of lading, delivery receipts, fuel and expense receipts). The Desk reads those documents with automated tools, including third-party AI models, and fills in fields for you. From your records it prepares invoices, profit-and-loss views, IFTA preparation worksheets, cost-per-mile figures, and tax set-aside estimates.
3. You confirm the numbers
- Automated reading makes mistakes. When the Desk can't read an amount clearly, it leaves the field blank and flags it rather than guessing, but it can still misread a document.
- You are responsible for reviewing and confirming every field before you save it, send an invoice, or rely on any report.
- Invoices you send from the Desk are your invoices, sent in your name to your customers.
4. Not tax, legal, or accounting advice
IFTA worksheets, tax set-aside estimates, cost-per-mile figures, and reports are record-keeping aids. They are not tax returns, and we do not file anything for you. We are not a tax preparer, accountant, or law firm. Confirm your filings and tax decisions with a qualified professional. You are responsible for your own filings, payments, and deadlines.
5. Your content
- You own the documents, photos, and records you put in the Desk ("your content").
- You give us permission to store, process, and display your content only to run the Desk for you, including sending documents to our service providers for reading.
- Corrections you make to fields the Desk read may be used to improve our reader. We do not allow outside AI companies to train their models on your documents.
- You confirm you have the right to upload what you upload. Some broker documents carry confidentiality terms; you are responsible for using them consistently with your agreements with your customers.
6. Keeping, exporting, and deleting your records
We keep your records and document photos for as long as your account exists, including after you stop using the Desk or cancel a paid plan. We don't delete them on our own schedule. Deleted items you remove in the app are marked deleted rather than erased, so they can be recovered if you ask. You can export your records from the Desk at any time (Data → Export). To delete your account and cloud data, email ryan@owneroperatorcentral.com. We delete your data from our live systems within 30 days of your request. Encrypted backups roll off on their normal schedule, within 90 days. Data stored only on your own device stays there until you clear it.
7. Acceptable use
Don't use the Desk to break the law, to upload content you have no right to, to try to access anyone else's account or data, or to interfere with or reverse-engineer the service. We may suspend an account that does; where we can, we'll still let you export your records.
8. Price and payment
The Desk is free during the beta. We will not charge you without your separate, explicit sign-up to a paid plan. Terms for paid plans, including renewal, cancellation, refunds, and any Founder's Club price lock, will be posted and shown to you before you can subscribe.
9. Availability
The Desk keeps a copy of your records on your device, and the cloud service may occasionally be unavailable. We don't promise any particular uptime. Tax agencies and IFTA jurisdictions set their own rules for what records you must keep and in what form; until you've confirmed with your tax professional that digital copies satisfy them, keep your original paperwork for as long as the law requires.
10. Disclaimers
Except as stated in these Terms, the Desk is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and accuracy of automated reading, to the fullest extent the law allows.
11. Limit of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, penalties, or interest, including those arising from a misread document or an unconfirmed number. Our total liability for any claim relating to the Desk is limited to the greater of (a) the amount you paid us in the 12 months before the claim or (b) $100.
12. Ending
You can stop using the Desk at any time. We can end or suspend the service or your account with reasonable notice, or immediately for misuse. If we ever shut the Desk down, we'll give at least 90 days' notice and keep export working for that whole period, so you can take every record and document photo with you.
13. Changes
If we change these Terms in a way that matters, we'll tell you by email or in the app at least 14 days before the change takes effect, and ask you to accept the new version before your data syncs again.
14. Law and disputes
Illinois law governs these Terms, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Illinois, and you and we consent to their jurisdiction. Before filing anything, email us and give us 30 days to try to resolve it.
15. Everything else
These Terms, the Privacy Policy, and the Beta Tester Agreement are the whole agreement between us about the Desk. If a part is found unenforceable, the rest still applies. Not enforcing a right isn't a waiver of it.
